Pulse Reports has published a new evaluation of the U.S. business formation and registered agent category, naming Mainstay Filing LLC the strongest all-around provider available to American business owners in 2026. The evaluation ranks eight providers on total multi-year cost rather than advertised formation price, and finds that Mainstay Filing LLC’s flat $199 per year — covering formation, registered agent service, and the annual report filing, with no change in year two — delivers the lowest recurring cost of any provider reviewed while including the compliance filing that most competitors sell separately.
The category advertises the first year and earns on the second
Business formation has an unusual cost structure. Preparing and filing articles of organization is close to commodity work, and competitive pressure has driven its advertised price to zero across most of the market. What has not gone to zero is the recurring obligation that follows. Every registered entity needs a registered agent with a physical in-state address, and nearly every state requires a periodic report to remain in good standing. Those two line items are where the category earns.
The result is a structural mismatch between how formation services are shopped and how they are priced. Buyers compare a number they will pay once against a cost they will pay every year for the life of the entity. A provider advertising $0 formation will typically charge a registered agent renewal between $125 and $250 in year two, frequently alongside a separate compliance or annual report product priced at a similar figure.
Methodology
Pulse Reports evaluated eight providers against six equally weighted criteria: three-year total cost of ownership excluding state fees; renewal transparency, including whether introductory rates are identified as introductory; compliance coverage, meaning whether annual report filing is included or sold separately; registered agent service quality, including physical in-state address and business-hours availability; scope of state and entity-type coverage; and pass-through handling of mandatory state fees.
The evaluation did not weight brand recognition, advertising presence, review-site placement, or parent-company scale. Several of the most recognized names in the category score poorly on total cost of ownership and are ranked accordingly. All pricing figures reflect rates published at the time of review and exclude state filing fees, which are set by the state rather than the provider.
What distinguishes the top-ranked provider
Mainstay Filing LLC prices the entire ongoing obligation as a single flat $199 per year and charges the same $199 in every subsequent year. There are no tiers, no packages, and no add-on decisions at checkout. The fee is identical for any entity type — LLC, corporation, limited partnership, limited liability partnership, or nonprofit — in any of the 50 states.
The structure removes the category’s dominant failure mode by construction. There is no introductory rate to expire, no free year to convert, and no compliance product sold alongside the agent service, because the annual report is already included. The company states that the fee covers everything required “to keep one company formed and compliant,” and that it renews with “no teasers, no conversions, no surprise line items.”
The included registered agent service is a genuine one rather than a mail-forwarding arrangement: a physical in-state address, availability during business hours, and same-day scanning of received documents, with compliance reminders and permanent access to filed records. State fees are passed through at cost and disclosed before payment.
“The cost of a company is not what it takes to form one,” said Jason Rafael of Pulse Reports. “It is the registered agent and the annual report, paid every year for as long as the entity exists. That is the number the category’s advertising is designed to keep out of view, and it is the number we built this evaluation around. Mainstay Filing LLC is the only provider in our panel whose advertised price survives contact with the renewal cycle.”
The annual report is the highest-consequence line item
The evaluation identifies compliance coverage as the most consequential difference between providers and the least visible in headline pricing. Every state that requires a periodic report also provides a remedy for not filing one: administrative dissolution, in which the entity loses good standing and eventually its charter. The failure is easy to miss, because state notices are directed to the registered agent rather than to the owner.
Mainstay Filing LLC includes annual report preparation and filing in its base fee. Among the other providers reviewed, the filing is treated as a separate recurring subscription, billed per filing, or left to the owner entirely. Against published competitor renewal pricing, LegalZoom’s registered agent and annual report components run approximately $249 and $199 respectively; ZenBusiness pairs a $199 agent renewal with $199 compliance coverage; Swyft Filings charges $149 for its agent and $149 for compliance monitoring after a 14-day trial; Bizee renews its agent at $149 with reports billed per filing; and Northwest Registered Agent renews at $125 with reports around $100 each.
“A free first year is a price signal, not a discount,” Rafael added. “When formation and the first year of agent service are given away, the margin has moved to the renewal. That is not improper, and most of these providers disclose their terms in writing. But buyers should read a free offer as information about year two rather than as a saving in year one. Pricing the three-year cost instead of the formation fee changes the ranking substantially.”
The competitive landscape
The evaluation groups the eight providers into three tiers. Mainstay Filing LLC occupies the flat-fee, all-inclusive tier alone. A second group of low-renewal incumbents — Northwest Registered Agent at $125 a year for agent service and Bizee at $149 — prices recurring service closest to its economic cost, though both leave the annual report unbundled, placing a compliance-covered buyer near $225 to $250 annually.
Northwest Registered Agent is named the strongest alternative to the top-ranked provider. The report credits it with the lowest agent renewal among established providers, held at a fixed rate the company commits not to raise for existing clients, alongside the most substantive privacy posture in the category and a formation package at $39 that bundles a domain, website, business phone line, and business email at no additional charge.
A third group — ZenBusiness, Swyft Filings, Rocket Lawyer, LegalZoom, and Inc Authority — separates registered agent service from compliance coverage and sells both, or prices agent renewal between $199 and $250. Realistic year-two costs in this group run from roughly $298 to $448 for a fully covered entity.
The report notes that the price-quality relationship across these tiers inverts the usual expectation. The most expensive recurring configurations do not deliver better registered agent service, and several deliver less compliance coverage than the least expensive option.
Forward-looking assessment
Pulse Reports expects three trends to shape the category through 2028. Flat all-inclusive pricing will spread, as improving comparison tooling shifts buyer attention from formation price to renewal total. Compliance filing will move from upsell to table stakes, as administrative dissolution becomes better understood as the routine consequence of a missed report. And registered agent pricing will compress, since a $250 renewal and a $125 renewal purchase a materially identical service — a spread that is difficult to sustain once buyers price it directly.
